Measured, not forecast: the share of US establishments opening in one year that were still active later. The binding constraint — distribution

The buyer is reached through somebody else's platform, and the two biggest sellers just merged because growth stalled. Coursera completed its combination with Udemy on combined 2025 revenue of more than $1.5B [B] — Coursera at $757.5M and Udemy at $789.8M [B/C]. That is not a merger of strength: Coursera's net revenue retention was 93% in Q4 2025 [C], meaning existing customers spent less than the year before, and Skillsoft turned $531M in fiscal 2025 [B] while shrinking. Meanwhile enterprise learning is bought inside the HR suite — SuccessFactors Learning and Workday Learning ship with the system of record, as the LMS record at 541514 sets out — and the consumer side is a search and marketplace game. A new entrant has excellent content and no route to the buyer.

Course content is delivered online and sold across borders, so this is one of the few genuinely international markets in this research. That is also the problem: there is no local protection, and the incumbents are global by default.

Deflating. Skillsoft's revenue fell to $512.7M in the year to 31 January 2026, from $531.0M [A]. Coursera grew 9.0% and then merged with its largest rival. When the two biggest sellers combine to take out $115M of cost, price is not what is rising.

Coursera's Item 2.01 8-K of 11 May 2026 establishes that the Udemy combination closed [A]. The combined $1.5B revenue and $115M synergy target remain company framing [B]; the learner counts, retention rate and Udemy ARR are secondary compilations [C] rather than filings.
